Distance Sales Agreement

This Distance Sales Agreement (“Agreement”) is formed automatically, at the moment the order is confirmed through the Platform, on each order placed through the escrow-payment B2B trading platform (“Platform”) operated by Senem ÖZDEN (Stok Gözlük) at stokgozluk.com, between the member business that lists the product (“Seller”) and the member business that places the order (“Buyer”). Stok Gözlük is not a party to this Agreement and carries out the transaction at the level of infrastructure, escrow payment organization, and record-keeping in its capacity as an intermediary service provider.

1. Nature of the Parties — Commercial Transaction

• The Platform is open only to verified optical-sector businesses; the Buyer and Seller transact in their capacity as merchants and in connection with their commercial enterprises.
• For this reason, the transaction is not a consumer transaction within the scope of Law No. 6502 on Consumer Protection; the right of withdrawal granted to consumers and the provisions of the relevant regulation do not apply. The transaction is subject to the provisions of the Turkish Commercial Code No. 6102 and the Turkish Code of Obligations No. 6098, together with this Agreement and the Platform Terms of Use.
• The parties accept that the listing profile, quantity, and price information at the time of the order are deemed an annex to this Agreement.

2. Subject Matter and Product

• The subject matter is the sale and delivery to the Buyer of the brand-new and genuine optical products listed by the Seller on the Platform, whose brand, model, reference code, color, and dimensions are stated in the listing.
• It is the Seller's undertaking that the product conforms to the listing profile (brand/model/reference/color/dimensions), is unused, and is genuine.

3. Price, Fees and Payment

• The product price is the price stated in the listing at the time of the order and is shown clearly in the order summary.
• In addition to the product price, a platform service fee (4% of the product price) and the shipping cost are charged to the Buyer; both are shown item by item before payment.
• A 6% commission on the completed sale is charged to the Seller; the commission is deducted from the Seller's payout.
• Payment is collected through a payment institution (iyzico) licensed under Law No. 6493 and held under the escrow model; transfer to the Seller is subject to the conditions in Article 5. Stok Gözlük never touches this amount at any stage.

4. Delivery and Shipping

• The Seller is obliged to hand over the product to the carrier with the shipping label generated by the Platform within 48 hours of being notified that the payment has been placed in escrow.
• The shipping process is carried out through the Platform's contracted shipping infrastructure; tracking information is shown to both parties.
• The delivery address is the Buyer's delivery address registered on the Platform at the time of the order.
• For orders not handed over to the carrier on time, the Platform reserves the right to cancel the order and refund the payment to the Buyer.

5. Inspection, Confirmation and Payment to the Seller

• Upon receiving the product, the Buyer is obliged to inspect it immediately (TCC Art. 23). Apparent defects must be reported through the Platform within 72 hours of delivery.
• When the Buyer confirms delivery on the Platform — or by automatic confirmation if no issue is reported within 72 hours of delivery — the product price held in escrow (less commission) is transferred to the Seller.
• If an issue is reported in time, the escrow is frozen and the dispute process in Article 6 is set in motion.

6. Returns and Disputes

• If the product turns out to be contrary to the listing profile, damaged, or counterfeit/replica, the Buyer opens a dispute through the Platform within 72 hours of delivery, attaching photos/documents.
• The dispute is concluded by the Platform's impartial review team on the basis of the records (listing profile, shipping record, images).
• If the review is concluded in the Buyer's favor, the product is returned to the Seller and the Buyer is refunded the full amount paid (product + service fee + shipping). If it is concluded in the Seller's favor, the escrow is released to the Seller.
• Detection of a counterfeit/replica product is grounds for account closure and legal proceedings.

7. Invoicing

• The product invoice is issued by the Seller to the Buyer on the product price and is delivered together with the product or electronically.
• Stok Gözlük issues an invoice/e-archive invoice to the Seller for the commission and to the Buyer for the service fee.

8. Force Majeure

In cases beyond the parties' control, such as natural disasters, widespread infrastructure/communication outages, or events that halt the shipping network, obligations are suspended until the impediment is removed; the periods are extended accordingly.

9. Personal Data and Privacy

The parties' data is processed within the scope of the Platform's Personal Data Protection Notice (KVKK) and Privacy Policy. The parties consent to the sharing of the information required for delivery (name, address, phone) with the shipping label and the carrier.

10. Governing Law and Jurisdiction

This Agreement is subject to Turkish law. In disputes, the Platform records (order, escrow, shipping, and system logs) constitute evidence; the competent and authorized authority is the Ankara Courts and Enforcement Offices.

11. Effectiveness

Upon the Buyer confirming the order through the Platform, this Agreement is deemed established and to have entered into force. The order summary, listing profile, and payment breakdown are an integral annex to the Agreement; a copy is stored electronically in the order record and is delivered to the parties upon request.
